These Affiliate Terms and Conditions (the “Agreement”) govern your participation in the Affiliate Program (the “Program”) provided by FBA Profit Guru (“Company,” “we,” “us,” or “our”), accessible via https://fbaprofitguru.com. By applying for or participating in the Program, you (“Affiliate,” “you,” or “your”) agree to be bound by these terms.
1. ENROLLMENT AND ELIGIBILITY
1.1. To enroll in the Program, you must submit an affiliate application via our designated platform. We reserve the right to accept or reject any application at our sole discretion.
1.2. You must be at least 18 years of age and possess the legal authority to enter into this Agreement.
1.3. You must provide accurate and complete information during the registration process, including valid payment information.
1.4. You represent and warrant that your participation in the Program will comply with this Agreement and all applicable laws, rules, and regulations (including advertising, consumer protection, and data privacy requirements).
2. AFFILIATE LINKS AND TRACKING
2.1. Upon acceptance, the Company will provide you with unique referral links (“Affiliate Links”).
2.2. Cookie Duration: The Program utilizes a sixty (30) day tracking cookie. If a potential customer clicks your Affiliate Link, you will be credited with the referral if they complete a purchase within sixty (30) days, provided your link was the most recent one clicked (last-click attribution).
2.3. The Company is not responsible for commissions lost due to cookies being cleared, blocked, or otherwise manipulated by the user or third-party software.
2.4. We may use third-party tracking and attribution systems. If there is a discrepancy between our records and any other reports, our internal records will control.
2.5. You may not use iframes, cookie stuffing, forced clicks, toolbars, adware, or any other technique intended to artificially generate clicks, leads, or commissions.
3. COMMISSIONS AND RECURRING REVENUE
3.1. Commission Rate: For each “Qualified Purchase” referred through your Affiliate Link, you will earn a commission of thirty percent (30%) of the subscription fee paid by the referred customer.
3.2. Recurring Model: Commissions are recurring. You will continue to receive a 30% commission for every subsequent renewal payment made by the referred customer for as long as their subscription remains active and you remain a member of the Program.
3.3. Qualified Purchase: A “Qualified Purchase” is defined as a completed subscription payment for FBA Profit Guru software made by a new customer who is not a current or former user of the service.
3.4. Commissions are calculated based on the net sales price, excluding taxes, processing fees, and refunds.
3.5. No commission will be paid on: (a) refunded, reversed, or charged-back transactions; (b) transactions identified as fraudulent; (c) transactions that violate this Agreement; or (d) transactions that are not tracked properly for any reason outside of our reasonable control.
3.6. If the referred customer downgrades, pauses, or cancels their subscription, commissions will adjust accordingly and stop when the subscription ends.
4. PAYMENTS AND STRIPE
4.1. Payment Method: All commissions are paid via Stripe.
4.2. Payout Schedule: Commissions are paid out on a monthly basis. Payouts are generally processed within the first ten (10) business days of the month for commissions earned in the previous calendar month.
4.3. Holding Period: We reserve the right to hold commissions for a period of up to thirty (30) days to account for potential refunds or chargebacks.
4.4. Minimum Payout: We reserve the right to set a minimum payout threshold. If your earnings are below this threshold, the balance will carry over to the following month.
4.5. You are responsible for any and all fees charged by Stripe or your bank, and for providing accurate payout and tax information where required. We may withhold payouts where reasonably necessary to comply with law, tax reporting obligations, or Stripe requirements.
5. PROHIBITED CONDUCT AND RESTRICTIONS
5.1. No Self-Referrals: You are strictly prohibited from signing up for FBA Profit Guru through your own Affiliate Link. Commissions will not be paid on self-referrals or accounts sharing the same IP address, billing information, or identity.
5.2. No Brand Bidding: You may not bid on “FBA Profit Guru” or any variations, misspellings, or combinations thereof (e.g., “FBA Profit Guru Coupons,” “FBA Profit Guru Discount”) in any Pay-Per-Click (PPC) or search engine advertising campaigns (e.g., Google Ads, Bing Ads).
5.3. No Spam: You must comply with all anti-spam laws. Promotion via unsolicited emails, mass social media messaging, or “spammy” forum posts is grounds for immediate termination.
5.4. Ethical Marketing: You must represent FBA Profit Guru accurately. You may not make false or exaggerated claims regarding the tool’s capabilities, profit potential, or performance.
5.5. FTC Disclosure: You must clearly and conspicuously disclose your affiliate relationship with FBA Profit Guru in accordance with FTC guidelines and local consumer protection laws.
5.6. You may not: (a) impersonate FBA Profit Guru, our employees, or our partners; (b) register or use domains, social handles, or ad creatives that are confusingly similar to our brand; (c) use deceptive redirects, cloaking, or misleading claims; or (d) represent that you are an authorized reseller unless expressly agreed in writing.
5.7. Email and Messaging Marketing: If you send marketing emails or messages promoting FBA Profit Guru, you must only contact recipients who have opted in or where you otherwise have a lawful basis to contact them, and you must include all disclosures and unsubscribe/opt-out mechanisms required by applicable law.
6. INTELLECTUAL PROPERTY
6.1. The Company grants you a non-exclusive, non-transferable, revocable license to use the FBA Profit Guru logos, trade names, and marketing materials solely for the purpose of promoting the service under this Program.
6.2. You may not alter or modify Company brand assets without prior written consent.
6.3. All goodwill generated by your use of Company assets shall inure to the benefit of the Company.
6.4. Except for the limited license granted above, we retain all right, title, and interest in and to our intellectual property. No rights are granted by implication or otherwise.
7. TERMINATION
7.1. Either party may terminate this Agreement at any time, with or without cause, by providing written notice to the other party.
7.2. The Company reserves the right to terminate your participation immediately and forfeit any unpaid commissions if you violate any terms of this Agreement, including but not limited to brand bidding or self-referral violations.
7.3. Upon termination, you must immediately cease using all Affiliate Links and Company branding.
7.4. Upon termination, commissions will only be payable for Qualified Purchases that occurred prior to the effective termination date, subject to the holding period, refund/chargeback policies, and compliance review. We may withhold or reverse commissions associated with violations of this Agreement or invalid traffic.
7.5. Sections which by their nature should survive termination (including but not limited to Intellectual Property, Limitation of Liability, and Governing Law) will survive.
8. LIMITATION OF LIABILITY
8.1. FBA Profit Guru shall not be liable for any indirect, incidental, special, or consequential damages arising out of or in connection with the Program.
8.2. We make no express or implied warranties or representations with respect to the Program or any products sold through the Program (including, without limitation, warranties of fitness, merchantability, or non-infringement).
8.3. To the maximum extent permitted by law, our aggregate liability arising out of or related to the Program or this Agreement will not exceed the total commissions paid to you in the twelve (12) months preceding the event giving rise to the claim.
9. GOVERNING LAW
This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction in which the Company is registered, without regard to its conflict of law principles.
10. MODIFICATIONS
We reserve the right to modify these Terms and Conditions at any time. Notice of modifications will be sent via email or posted within the affiliate dashboard. Continued participation in the Program following such modifications constitutes your acceptance of the revised terms.
10.1. If you do not agree to the updated terms, you must stop participating in the Program and discontinue use of Affiliate Links.
